HerdWhistle Terms of Sale

These terms are subject to legal review and may be updated.

Effective date: October 11, 2026

1. About these Terms

These Terms of Sale ("Terms") apply when you reserve, order or buy HerdWhistle hardware, or subscribe to a HerdWhistle subscription plan, directly from HerdWhistle Technologies Inc., a corporation established under the laws of Alberta, Canada ("HerdWhistle", "we", "us"), based in Calgary, Alberta, Canada.

"You" or the "Buyer" means the person or organization named on the Order. If you order on behalf of an organization, you confirm that you are authorized to bind it.

These Terms, together with your Order Confirmation and our Privacy Policy, form the whole agreement between you and us for that order. If the Order Confirmation conflicts with these Terms, the Order Confirmation applies to that order only.

These Terms are written for business and professional buyers, such as ranches, farms, conservation and research organizations, and similar organizations.

2. Definitions

"Products" means the hardware listed in section 3.

"Order" means your reservation and deposit request for Products, submitted through our website, by invoice, or by another method we accept.

"Order Confirmation" means our written acceptance of your Order, stating the Products, quantities, prices, currency and Deposit amount.

"Deposit" means the payment of 20% of the order price described in section 6.

"Balance" means the remaining 80% of the order price described in section 6.

"Delivered" and "Delivery" mean that the Products are made available to you, ready for collection, at our facility in Alberta, Canada, and we have notified you that they are ready.

"Early-Bird Order" means an Order placed on or before March 25, 2027.

"Subscription" means a HerdWhistle subscription plan (Tiers 1 to 4) described in section 14.

"Device Data" means data collected, generated or transmitted by the Products, as described in our Privacy Policy.

3. Products covered

These Terms cover reservations and orders, worldwide, for:

  • the CattleShield product line: the CattleShield Collar, a virtual-fencing collar for cattle, and the CattleShield Tag, a calf pairing tag used with a CattleShield Collar; and
  • the HerdWhistle Tag family: the HerdWhistle 1000 Tag, HerdWhistle 500 Tag, HerdWhistle 250 Tag and HerdWhistle 100 Tag.

BigEye products are not covered by these Terms, are not available for reservation or deposit, and are not part of any Subscription tier.

Authorized distributors. Reservations for CattleShield Collars are open worldwide from November 1, 2026. In Canada, CattleShield Collars are sold through our authorized Canadian distributor, which also handles retail sales and returns for those Collars in Canada. If you are in Canada and wish to reserve Collars, we will refer you to the distributor, and the distributor's terms apply to that purchase. In some other countries, Products may also be sold through an authorized distributor; we will tell you at order if this applies.

CattleShield Collars are for use on cattle only. HerdWhistle Tags are offered for cattle, sheep, goats, bison, camels, wildlife and other animals. Tag size is selected mainly by animal size, and we will confirm the size in your Order Confirmation.

Products in development. At the time of your Order, the Products are in development and are not yet in production. Final specifications, features, appearance and certifications may change before Delivery. We will tell you in writing about any material change before we ask for the Balance.

No health or outcome promises. Products and Subscriptions provide data, insights and management tools. They are not veterinary products, do not diagnose, treat or prevent any condition in animals, and do not guarantee any productivity, breeding, welfare or financial outcome.

4. Ordering

Submitting an Order is an offer to buy. A contract is formed only when we send you an Order Confirmation and receive your Deposit.

We may decline or limit any Order, including to manage allocation, to comply with export, sanctions or local laws, or where a Product cannot lawfully be used in your country. If we decline after receiving any payment, we will refund it in full.

Early-bird pre-sales open November 1, 2026. Regular sales open March 26, 2027, with standard lead times of about 90 days from order.

5. Prices and volume tiers

Prices are manufacturer's suggested retail prices (MSRP) in US dollars (USD), per unit. The price tier is set by the total quantity of that Product in a single Order.

CattleShield Collar pricing in Canada is set by our authorized Canadian distributor.

Prices exclude taxes, duties, tariffs, shipping and other costs that are the Buyer's responsibility under sections 8 and 9. Any minimum or maximum order quantity will be confirmed at order.

6. Deposit and Balance

Deposit. You pay a Deposit of 20% of the order price when you place your Order, or by the due date shown on our deposit invoice if you order by invoice.

Balance. You pay the remaining 80% Balance before shipment. We will send you a Balance invoice when your Products are ready, or about to be ready, for Delivery. The Balance is due by the date shown on that invoice. We release Products for collection only after we have received the Balance in cleared funds.

Late-delivery discounts. If a discount under section 10 applies, it is calculated on and deducted from the 80% Balance. If you have already paid the Balance, we will refund the discount amount.

If you don't pay the Balance. If you do not pay the Balance by its due date, we may cancel the Order after giving you written notice. What happens to the Deposit in that case will be confirmed in your Order Confirmation.

The Deposit is a prepayment towards the price and does not earn interest.

7. Payment methods

We accept payment by:

  • card through Stripe (Visa and Mastercard, and other card types if shown at checkout); and
  • bank transfer through Wise, using the account details on our invoice.

Stripe and Wise process payments as our payment service providers. We do not receive or store your full card number. See our Privacy Policy.

You pay your own bank, card and transfer charges. Refunds are made to the original payment method where possible, in the currency of the original payment.

8. Taxes, duties and tariffs

Prices exclude all taxes. You pay any sales, goods and services, value-added, use or similar taxes that apply to your purchase. Where we are required to collect a tax (for example Canadian GST/HST, where applicable), we will add it to the invoice.

For deliveries outside Canada, shipping, taxes, import duties, tariffs and customs fees are extra and are your responsibility.

9. Delivery terms: EXW Alberta

All Products are sold EXW (Ex Works), Incoterms® 2020, at our manufacturing facility in Alberta, Canada. The exact place of collection will be confirmed in your Order Confirmation.

At Delivery, the Products are made available to you or your carrier at that facility, not loaded. From that point, you are responsible for, and pay for:

  • loading, shipping, insurance and transport to your destination;
  • export and import formalities, customs clearance, duties, tariffs and taxes;
  • import permits, licences and registrations, including any radio, telecommunications, satellite or animal-identification approvals required in your country; and
  • compliance with all laws that apply where the Products are imported, sold or used (see section 12).

Collection. You or your carrier must collect the Products within the period stated in our ready-for-collection notice.

Delivery dates. Early-Bird Orders (orders placed on or before March 25, 2027) will be Delivered on or before June 30, 2027. This applies to CattleShield Collars, CattleShield Tags and HerdWhistle Tags worldwide. Orders placed from March 26, 2027 have standard lead times of about 90 days, and the delivery date will be stated in your Order Confirmation.

10. Late delivery of Early-Bird Orders: discounts and refund

If an Early-Bird Order is Delivered after June 30, 2027, the following applies to the affected Products:

Partial deliveries. If only part of an Order is Delivered on time, the discounts and refund apply only to the Products that are late or undelivered.

Delays caused by the Buyer. The discounts and refund do not apply to the extent that a delay is caused by you, for example late payment of the Balance or a failure to collect.

11. Risk and ownership

Risk of loss or damage passes to you at Delivery under EXW. Ownership of the Products passes to you when they are Delivered and we have received full payment.

12. Your responsibilities: lawful use and local compliance

You are responsible for making sure that you may lawfully import, own and use the Products in your country and region, including laws and rules on:

  • animal welfare and the use of animal-training cues. The CattleShield Collar uses sound cues and, where needed, an escalating electric stimulus. You must make sure this is lawful where you use it and follow our instructions for use;
  • radio, telecommunications and satellite equipment;
  • animal identification and traceability. The Products include RFID only where mandated or requested, and are not an official identification device unless the Order Confirmation says so;
  • wildlife, protected species and research permits; and
  • land access, fencing and livestock containment.

Virtual fencing is a management tool, not a physical barrier. You remain responsible for the containment, care and welfare of your animals. Use CattleShield Collars on cattle only, and use all Products according to our instructions.

13. Cancellation

Cancellation by you. Your options to cancel an Order before shipment, and any refund that applies, will be stated in your Order Confirmation.

Cancellation by us. We may cancel an Order, in whole or in part, by written notice before Delivery, for example if we cannot lawfully supply the Products to your country. If we do, we will refund everything you have paid for the cancelled Products.

14. Subscriptions (Tiers 1 to 4)

Products connect to HerdWhistle services through satellite and short-range links. Subscription plans are offered as follows:

Tier 2 and Tier 3 are available worldwide, including in Canada, and are paid directly to HerdWhistle through the HerdWhistle mobile app or web app. Billing periods, renewal and cancellation details are shown in the app when you subscribe.

Tier 3 indicators are data and insights only and are not veterinary diagnosis (see section 3).

Connectivity. Satellite airtime for the Products is arranged and paid for by HerdWhistle as part of the service; no separate airtime fee is charged to you. We will give you advance notice of any change. Coverage, message frequency and latency depend on location, conditions and the network, and are not guaranteed.

Data. HerdWhistle owns all data collected through the Products and Subscriptions across Tiers 1 to 4, to the fullest extent permitted by law, excluding individual personal data, which is handled under our Privacy Policy. Where the law of a country prohibits this data model, HerdWhistle does not offer the Products or Subscriptions in that country.

Subscriptions do not apply to BigEye.

15. Software, firmware and updates

Software and firmware in the Products, and our apps, are licensed, not sold. We grant you a non-exclusive, non-transferable licence to use them with the Products while you have an active account.

Products receive data and over-the-air firmware updates, including virtual-fence boundary updates. You agree to allow updates needed for security, regulatory compliance and correct operation.

You must not reverse-engineer, modify or tamper with the Products, software or firmware except as permitted by law.

16. Warranty

The hardware warranty for each Product will be provided with your Order Confirmation. Warranty claims and returns are handled by HerdWhistle, or by the authorized distributor where the Product was bought through one, including CattleShield Collars bought in Canada.

Except as stated in the warranty and to the extent permitted by law, Products and Subscriptions are provided without other warranties, express or implied, including fitness for a particular purpose and merchantability. We do not warrant that Device Data will be complete, accurate, continuous or error-free.

17. Limitation of liability

To the extent permitted by law:

  • our total liability arising from an Order is limited to the amount paid for the Products concerned;
  • our total liability for a Subscription is limited to the fees you paid for that Subscription in the 12 months before the claim; and
  • we are not liable for indirect, incidental, special or consequential loss, including loss of animals, loss of production, loss of profit, crop or pasture loss, or loss of data, or for losses caused by satellite or network outages, animals leaving a virtual fence, or reliance on Device Data or insights.

Nothing in these Terms limits liability that cannot be limited by law.

18. Distributor orders

Distributors, resellers and integrators buy under a separate written distributor agreement, which prevails over these Terms. If you buy from an authorized distributor, your contract for the hardware is with the distributor; Subscription and data terms with HerdWhistle still apply to your use of HerdWhistle services. Distributor inquiries can be made through our website or at sales@herdwhistle.com.

19. Events beyond our control

We are not liable for delay or failure caused by events beyond our reasonable control, such as natural disasters, epidemics, war, government action, supply-chain or component shortages, or satellite or network failures.

20. Export controls and sanctions

You will not export, re-export or use the Products in breach of Canadian or other applicable export-control or sanctions laws. We may refuse or cancel an Order where required by those laws.

21. Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there.

22. General

Changes. We may update these Terms for future Orders. The Terms in force on the date of your Order Confirmation apply to that Order.

Language. These Terms may be provided in French and Portuguese. If there is a difference between versions, the English version applies.

Assignment. You may not assign or transfer an Order without our written consent.
